Seller Terms

These Seller Terms (“Seller Terms”) govern your use of the Fluffifi marketplace as a seller. They supplement the General Terms & Conditions and, together with them, form the agreement between you and Fluffifi Ltd(company no. 15793565), registered office: 128 City Road, London, EC1V 2NX (“Fluffifi”, “we”, “us”).

You must accept these Seller Terms when creating or updating your seller profile. If you do not accept, you may not sell on the platform.

1. Eligibility and Registration

You must be at least 18 years old and legally able to enter into binding contracts.
You must complete our identity verification (KYC) process before listing any products for sale.
Business sellers must provide a valid registered business name, address, and Companies House number (where applicable).
You must keep your seller profile information accurate and up to date at all times.

2. What You Can Sell

You may list pet products and pet-related goods that comply with all applicable UK law. You must not list:

Prohibited items under UK law, including certain medications, restricted chemicals, or items subject to CITES controls.
Live animals (unless specifically permitted and licensed; contact us before listing).
Counterfeit or infringing goods.
Items misrepresented as something they are not.
Products that do not meet UK product safety standards (e.g. electrical goods without CE/UKCA marking where required).

We reserve the right to remove any listing that we consider inappropriate or in breach of these terms, without notice.

3. Listings and Accuracy

All listings must be accurate, complete, and not misleading. This includes pricing (showing the full price inclusive of VAT where applicable), descriptions, images, condition, and stock availability.
You are responsible for ensuring your listings comply with the Consumer Rights Act 2015, the Consumer Protection from Unfair Trading Regulations 2008, and all other applicable legislation.
You must update or remove listings promptly when items are out of stock or prices change.
Fluffifi may require you to add additional information to listings to ensure legal compliance.

4. Orders, Fulfilment, and Delivery

You must fulfil all orders placed in good faith within your stated handling times.
You are responsible for packaging goods securely and dispatching them with an appropriate carrier.
You must provide accurate tracking information where available.
You may not contact buyers off-platform to renegotiate price or redirect payment outside Fluffifi.
If you are unable to fulfil an order you must cancel it promptly and notify the buyer with an explanation.

5. Returns and Refunds

Buyers have a statutory 14-day right to cancel most purchases and return goods under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. You must honour this right.
Goods must conform to their description, be of satisfactory quality, and be fit for purpose under the Consumer Rights Act 2015. You are responsible for remedying any breach (repair, replacement, or refund).
Your stated return policy must be visible on your listings and must not seek to limit buyers' statutory rights.
Refunds must be processed within 14 days of receiving the returned goods.

6. Fees and Commission

Fluffifi charges a commission on each completed sale. The commission rate depends on your subscription tier:
- Free tier: 15% of the sale price (excluding delivery).
- Paw Pass: 13% of the sale price (excluding delivery).
- Pro Seller / Business Plus: 10% of the sale price (excluding delivery).
Commission is deducted automatically at the point of sale via our payment processor (Shopify Payments).
You may not charge buyers a surcharge to recover Fluffifi's commission or any processing fees.
Subscription fees for paid tiers are payable monthly or annually in advance via Shopify Billing and are non-refundable except where required by law.

7. Tax and Reporting Obligations

You are solely responsible for accounting for and paying all taxes arising from your sales, including income tax, VAT (where you are VAT-registered or required to register), and any other applicable levy.
As a digital platform operator, Fluffifi is required to collect and report seller information and transaction data to HMRC under the UK Digital Platform Reporting rules (SI 2023/817). By selling on Fluffifi you consent to this reporting.
You must provide accurate information for tax-reporting purposes when requested. Providing false information is a criminal offence.

8. Data Processing

In providing the Fluffifi marketplace to you as a seller, Fluffifi processes your personal data as set out in our Privacy Notice and Data Processing Agreement. By accepting these Seller Terms you also accept those documents.

9. Prohibited Conduct

As a seller, you must not:

Manipulate reviews, purchase fake reviews, or incentivise reviews in a way that does not reflect genuine buyer experience.
Communicate with buyers outside the platform in a way designed to move transactions off-platform.
Copy or infringe another seller's intellectual property.
Use buyer data obtained through Fluffifi for any purpose other than fulfilling that buyer's order.
Create multiple seller accounts to game fee structures or circumvent suspensions.

10. Suspension and Termination

We may suspend or terminate your seller account if you breach these Seller Terms, our General Terms & Conditions, or any applicable law.
On termination, any active listings will be removed and pending orders must be fulfilled or refunded.
Accrued commission obligations survive termination.

11. Liability

Fluffifi acts as a marketplace intermediary. We are not a party to the contract of sale between you and the buyer. You are fully responsible for the products you sell, their compliance with UK law, and any claims arising from buyers.

You agree to indemnify and hold Fluffifi harmless from any claims, losses, fines, or expenses arising from your listings, your products, your conduct on the platform, or your breach of these terms.

12. Changes to These Terms

We may update these Seller Terms from time to time. We will give you at least 14 days' notice of material changes by email. Continued use of the seller features after that date constitutes acceptance of the revised terms.
